Contract Administrator

Responsibilities/Success Factors:

The Contract Administrator is responsible for drafting, administering and managing company contracts and advising on contract management and policy compliance matters. This position will report to the President & COO.

 

The ideal Contract Administrator will be a self-motivated team player with strong organizational skills and a keen eye for accuracy. he/she will have demonstrable contract management experience and the ability to multi task and prioritize effectively.  The successful candidate will be a quick learner and have a comfort level working within a fast-paced environment and entrepreneurial culture.

 

Specifically, the Contract Administrator will be expected to handle the following:

  • Company contract management and contract support for standard corporate agreements, such as confidentiality/non-disclosure (“NDA”) and independent contractor agreements

  • Prepare and distribute information regarding contract status, compliance and modifications

  • Manage and organize all contracts pursuant to the company’s contract management policy and provide updates, briefs and revisions summarizing contractual requirements

  • Maintain processes that provide timely notification of critical contract events (renewals, termination, due dates, etc.)

  • Analyze contracts and other transactional documents to determine contractual rights and obligations and provide recommendations to management

  • Assist in the preparation of contracts, leases, corporate documents and other transactional documents

  • Provide general assistance including preparing reports, correspondence, updating company files/records, filing and research as required

  • Maintain and manage Foreign Corrupt Practices Act (“FCPA”) compliance and audit file

  • Assist in the maintenance of audit files for contracts which will include relevant correspondence, changes/deviations, amendments, clarifications and payment schedules

  • Provide general support and assistance to lawyers working on the company’s behalf

  • Provide other administrative duties as needed

 

Qualifications                         

  • AA degree or equivalent certifications

  • 5+ years experience in a similar role

  • Experience with any of the following a plus: Maritime, Environmental, Mergers & Acquisitions, US Securities law

  • Experience in a corporate law environment preferred

  • Experience working for a publicly traded company preferred

  • Corporate Governance experience a plus

  • Bilingual English/Spanish preferred

  • Demonstrated ability to read, comprehend and accurately present complex documents and material in summary and/or annotated form

  • Working knowledge of contract terminology and principles

  • Proven expertise in relation to contracts, service agreements and NDAs

  • Strong verbal and written communication skills

  • Knowledge of legal requirements involved with contracts

  • Skilled in the use of Microsoft Office tools

  • Skilled in the use of legal and general research tools

  • Ability to identify issues, potential legal risks and potential liabilities

  • Ability to self-manage priorities and the development of various associated work products with little or no supervision

  • Ability to work well under pressure and on tight deadlines

  • Ability to handle highly confidential information

Physical Requirements:

  • Vision: Clarity of vision, with or without correction, to see and decipher printed materials, computer and computer related equipment and parts as well as data on a computer monitor.

  • Sitting: Remaining in the seated position for long hours in front of a computer.

  • Talking: Expressing or exchanging ideas by means of the spoken word to impart oral information to clients, vendors, contractors or other employees in person or on the phone.

  • Hearing: Perceiving the nature of sounds at normal speaking levels with or without correction, and having the ability to receive detailed information through oral communication.

  • Repetitive movement of hands and fingers: Consistently operate a computer and other office productivity machinery (i.e. a calculator, copy machine, computer printer).
