Counsel

Odyssey Marine Exploration is seeking an experienced business-minded attorney to serve as General Counsel.  The successful candidate must be a self-starter with strong communication and problem-solving skills. A candidate with a minimum of 10-years relevant experience is preferred.  This position is based at the company’s corporate headquarters in Tampa, FL.

Responsibilities/Success Factors

The General Counsel is responsible for directing the company’s overall legal function and providing legal counsel and guidance to the management team.  Responsibilities also include contract preparation and negotiation, management of external legal resources and maintaining legal compliance across the company and its subsidiaries.

 

The ideal General Counsel will act as a team player and enrich our existing management team with their ability to align business objectives and strategy with leadership and sound legal advice.  The General Counsel will have demonstrated experience as a performance-driven lawyer who takes a balanced approach to risk.  The successful General Counsel candidate will have a comfort level working within an entrepreneurial culture, is calm under fire and enjoys working with an adventurous management team in a fast-paced environment and will be able to help lead the organization through globalization and growth.

 

Specifically, the General Counsel will be expected to:

 

  • Provide timely and accurate legal guidance to the Board of Directors and senior management.

  • Collaborate with the Executive Committee to provide legal advice and counsel as it relates to company strategy and business decisions.  Be a thought leader in providing analytical insight, legal perspective and solutions to the EC and management.

  • Assist in corporate development activities including, assisting with the structuring, formation and sustained operational support of subsidiaries and offshore entities.

  • Participate in key decisions pertaining to strategic initiatives, operating model and operational execution.

  • Oversee and manage long-term legal strategy in alignment with the company’s strategic plan, especially as the organization considers new business opportunities and collaborations with external organizations.

  • Oversee the selection, retention, management and evaluation of all outside counsel.

  • Manage the company’s litigation, through coordination with outside counsel

  • Manage legal document collection, review, organization and storage.

  • Provide in-depth research and due diligence to advise management on legal aspects of various business transactions and issues.  

  • Collaborate with other departments to manage regulatory affairs, corporate governance and risk management initiatives.

  • Ensure that the company conducts its wide variety of business operations in compliance with applicable laws and regulations.

  • Draft, review and negotiate contracts.

  • Assist with the development of strategic policies, processes and initiatives to minimize company legal exposure as well as educating/training company management on legal risks and ramifications

 

Ideal Qualifications            

  • JD degree from accredited law school

  • Licensed to practice law and in good standing

  • Minimum of 10 years’ experience with a major law firm or in-house counsel

  • Public company experience, encompassing SOX compliance and corporate governance

  • Familiarity with the following areas of law: mining & minerals, employment and corporate

  • Understanding of corporate finance

  • Familiarity with mergers and acquisitions

  • Extensive experience drafting, negotiating and reviewing contracts of all types

  • Understanding of corporate risk management practices, such as employment issues, data security, insurance issues, and information governance

  • Demonstrated ability to perform in a fast-paced, dynamic environment with shifting priorities with a high level of commitment and professional dedication

  • Excellent analytical and abstract reasoning skills, plus excellent organization skills

  • Sophisticated communicator (oral and written) with the ability to decipher, communicate and present complex information in a way that can be easily understood

  • Global/ International legal and business experience

  • Experience managing government relations

  • Broad based knowledge on various legal issues

  • Strong negotiating skills and ability to influence and persuade
